1. Acceptance of Terms

By accessing and using the services of M/S Consultancies, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

M/S Consultancies provides legal and policy advisory services including but not limited to corporate law, policy development, governance solutions, international law, NGO advisory, and intellectual property services. All services are subject to separate engagement agreements.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for our services
  • Cooperate fully in the provision of services
  • Pay all fees and expenses as agreed upon
  • Maintain confidentiality of sensitive information shared during consultations
  • Comply with all applicable laws and regulations

4. Professional Standards

Our services are provided in accordance with the highest professional standards and applicable legal and ethical requirements. We maintain professional indemnity insurance and adhere to all regulatory requirements governing legal practice in Kenya.

5. Confidentiality

We maintain strict confidentiality regarding all client information and communications. This confidentiality extends beyond the termination of our professional relationship and is subject to attorney-client privilege where applicable.

6. Fees and Payment

Fees for our services are agreed upon in separate engagement letters. Payment terms include:

  • Fees are due within 30 days of invoice date unless otherwise agreed
  • Late payment may result in suspension of services
  • All expenses incurred in providing services are billable to the client
  • Retainer fees may be required for certain engagements

7. Limitation of Liability

Our liability is limited to the extent permitted by law and professional regulations. We maintain professional indemnity insurance to cover potential claims. Our maximum liability shall not exceed the fees paid for the specific engagement giving rise to the claim.

8. Termination

Either party may terminate the professional relationship with reasonable notice. Upon termination, all outstanding fees become immediately due and payable. We will provide reasonable assistance in transitioning matters to new counsel if requested.

9. Governing Law

These terms are governed by the laws of Kenya. Any disputes arising from our professional relationship shall be subject to the jurisdiction of Kenyan courts or resolved through alternative dispute resolution mechanisms as agreed.
